It is not widely known that such prosecutions can have very serious consequences:

Firstly, a successful prosecution results in a criminal conviction.

Secondly, the maximum penalty for a typical s.242 Companies Act prosecution is £5,000 (although first offence convictions would generally result in a much lower fine, particularly if the company director is legally represented).

Thirdly, "multiple-charge" prosecutions are often brought; a third conviction (which would be very likely if say both accounts and annual returns were not filed for a two-year period) can result in disqualification as a company director.
